LLC Formation $600

(+$520 state filing fees, annual filings)

(a) Consultation on the relative benefits and burdens of the LLC structure, as well as the basic tax implications and structuring possibilities and limitations;

(b) State and preliminary federal entity search for availability of your entity name.

(c) Preparation and filing of your Articles of Organization with your desired venue, potentially Massachusetts;

(d) Filing of your Federal Employer’s Identification Number (FEIN) with the IRS so the entity can open a bank account and handle funds;

(e) Asset Transfer agreement between you as a sole proprietor and the entity;

(f) Manager resolution for banking; and

(g) Consultation on common and suggested management practices and profit distribution arrangements for you, as owner of the company, including a review of best practices and potential liabilities to avoid, given the anticipated structure.    

Corporation Start-up Package  $1,700

Provides you with an added degree of credibility and professionalism that will increase the business opportunities and a make you a better target for selling your idea or your entire company down the road. This package includes: 
 
a. Consultation on the relative benefits and burdens of the Corporate structure, as well as the basic tax implications, structuring limitations, and possible capital structures that would be recommended for your venture. 

b. State and preliminary federal TM search for availability of your entity name. 

c. Preparation and filing of your Articles of Organization with your desired venue, potentially Massachusetts or Delaware. 

d. Filing of your Federal Employer’s Identification Number (FEIN) with the IRS so your company can open a bank account and handle funds. 

e. Filing foreign registrations as required upon formation. 

f. Asset Transfer agreement between yourselves as sole proprietors and the entity, if required. 

g. Assisting you with the Initial Board election and Stock issuance. 

h. Consultation on Corporate Governance responsibilities and maintenance for a benefit corporation. 

i. Standard Template Corporate Governance documents including: 

     i. By-laws compliant with state law 

     ii. Form meeting minutes 

     iii. Form Board Resolution 

     iv. Form Shareholder Votes
